1.1 The client particulars will appear at the top of each LAB22 invoice or cost estimate, including company name, company registration number, company address and contact details.
1.2 The client will supply this information to LAB22 and warrants that this information is correct and accurate.
1.3 When a client designates a contact person for any work quoted for or performed by LAB22, the client warrants that this contact person is duly authorised to perform such duties and to enter into agreements with LAB22 on behalf of the company.
2.1 All cost estimates are valid for a period of 14 days from date of issue.
2.2 Unless specifically stated otherwise, all LAB22 cost estimates exclude the following:
2.2.1 Any copywriting required for the project
2.2.2 Any photography fees and/or scanning fees
2.2.3 Any reformatting or optimising of images supplied by the client
2.2.4 Any re-typing or re-creating of copy or any other element of a project
2.3 All LAB22 cost estimates will include the following:
2.3.1 A cost breakdown for each definable element of the project
2.3.2 All handling, courier or other exceptional costs will be specified separately.
3.1 A client will enter into a binding agreement with LAB22 the moment the contact person from the client affirms approval by either supplying LAB22 with:
3.1.1 An original signed cost estimate
3.1.2 A faxed copy of the signed cost estimate
3.1.3 An e-mail from the contact person affirming the acceptance of the cost estimate
3.1.4 It is specifically recorded that the client understands the application of the Electronic Communications and Transactions Act of 2002 and its provisions for data messages and its legal force with regard to agreements
3.2 Upon acceptance of a cost estimate 50% of the total quoted amount becomes due and payable.
3.3 Upon receipt of the payment as intended in para 3.2, The Client will supply LAB22 with all relevant project content which will include:
3.3.1 A Good Quality Company Logo in a scalable vector format.
3.3.2 All images that should be used in for the project.
3.3.3 All copy written text that needs to be used for the project.
3.3.4 All links and any other relevant content that pertains to the project.
3.4 LAB22 cannot commence any part of the project without all the elements stated in para 3.3.
3.5 Upon receipt of the payment as intended in para 3.2 and project content as intended in para 3.3, LAB22 will provide the client with a timing plan which will include:
3.5.1 Details of all material, including copy, images, photographs or any other element required by LAB22 to perform the services in the cost estimate.
3.5.2 Dates for client reviews and sign-off procedures as intended in para 4 below
3.5.3 Date for estimated completion of the project.
4.1 The Client contact person is deemed as the only authorised person to sign-off and approve any work at any stage of the project
4.2 If the Client requires any internal or third party approval in addition to the contact person’s approval, it is the Client’s responsibility to arrange such approval within the time frames of the LAB22 timing plan
4.3 Any delay of whatever nature caused by the client not approving any stage of the project as specified in the timing plan will bring into effect the provisions of para 5 below and it is specifically records that the client understands and accepts these provisions.
5.1 If LAB22 is unable to deliver any element of the project at any stage, the reasons for late delivery will be communicated in writing to the Client contact person within 24 hours of the reason occurring.
5.2 If the Client or the Client contact person delays any element of the project at any stage of the project, LAB22 will inform them of this in writing within 24 hours of such occurrence.
5.3 Since LAB22 cost estimates are time based, any delay as intended in para 5.2 will attract an additional cost of R350 per hour, unless specifically agreed otherwise.
5.4 The Client agrees that if any additional work is required or material changes are made to the nature of the project, LAB22 will charge a rate of R350 per hour for all such additional or changed requirements
5.5 The additional costs intended in para 5.4 will be appended to the original cost estimate and will be deemed to form part of the agreement between LAB22 and the Client. All provisions specified in the LAB22 General Trading Terms and Conditions will apply mutatis mutandis to any additional costs.
6.1 By its nature, any element of a project that requires printing to be done will be sent to a printer and will be subject to the following provisions:
6.2 LAB22 will present finished artwork for client approval before any printing is performed
6.3 Once the finished artwork has been approved by the Client, any changes, alterations or delays caused by the Client will be considered as additional work and will attract additional costs as intended in para 5 above, plus any additional costs as specified by the printer.
6.4 It is specifically recorded that LAB22 will perform its services based on the approved finished artwork and will warrant that the completed project will accurately reflect the approved finished artwork.
6.5 Colour variation is a natural occurrence in printing and it is specifically recorded that unless colour variation is material in nature, LAB22 will not accept any responsibility for such variation.
6.6 It is the sole responsibility of the Client to check all finished artwork before approval for any errors, misspelling, incorrect images or any other omission or mistakes of whatever nature.
7.1 All provisions of the LAB22 General Trading Terms and Conditions apply to web projects except for para 6 above.
7.2 All work completed by LAB22 on a web project will be warranted to function as intended in the cost estimate.
7.3 The Client has to inform LAB22 in writing of any bugs, defects or any errors within two weeks of completion.
7.4 LAB22 undertakes to fix or alter any such bugs, defects or errors.
7.5 If any bugs, defects or errors are detected and reported by a Client after two weeks from completion date, such work will be considered as additional work.
8.1 A project is considered as completed when all the requirements as set out in the cost estimate have been met, delivered or effected.
8.2 Once a project has been completed, the balance of all outstanding costs is due and payable, including any additional costs incurred in the course of the project.
8.3 LAB22 has a general policy of C.O.D payment, and unless specifically agreed with the Client no payment terms will be extended.
9.1 The client specifically agrees that if the project is cancelled at any stage before it reaches completion, a cancellation fee is due and payable equal to 50% of the total outstanding amount quoted plus any additional hard costs incurred up to that date.
